J. CLAIBOURNE KELLY

Mr. Kelly concentrates his practice in the areas of commercial lending, corporate transactions, real estate and securities.

Experience:


Clay's practice is generally divided into two areas: serving as general counsel for business and as lender's counsel for financial institutions. In his general counsel role, he advises clients as to the formation, capital raising, governance, compliance, and sometimes, the liquidation of business entities. These areas involve creating the proper entity, helping to structure the raising of capital, negotiating contracts on behalf of the business, advising on legal affairs of a business, and assisting in mergers and acquisitions by clients (both as buyer and seller). Clay represents closely held businesses, quasi-public businesses (where there are outside and uninvolved investors) as well as public corporations. He has been involved in mergers and acquisitions of all three and securities issues of the quasi and publicly held companies.

In his role as lender's counsel, Clay represents banks for commercial and industrial and real estate loans and represents mezzanine financiers (usually subordinated debt placements). His largest loan, representing a borrower is a $55 Million facility. The largest loan for a lender is a $17 Million facility. Many of the loans involve real estate as collateral. At a mid-point in his career, Clay also concentrated on real estate.

Clay is a member of the Oakland County Bar Association and the State Bar of Michigan (Member, Sections on: Real Property Law; Corporation, Finance and Business Law).
